1. NO PURCHASE NECESSARY TO ENTER OR TO WIN. A PURCHASE WILL NOT INCREASE YOUR ODDS OF WINNING. OFFERED ONLY TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA WHO ARE 18 YEARS OF AGE OR OLDER AT TIME OF ENTRY. ALL FEDERAL, STATE, LOCAL AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED.

2. HOW TO ENTER: To enter the TV ONE “I Want TV One” Sweepstakes (the “Sweepstakes”), visit www.tvoneonline.com (the “Website”), click on the TV One “I Want TV One” Sweepstakes image on the Website and complete all of the required information. Submit your entry by completing the registration form and clicking submit. The Sweepstakes will begin at 10 a.m. Eastern Time (ET) on August 9, 2010 and end at 5 p.m. ET on December 31, 2010 (the “Sweepstakes Period”). During the promotion period, there will be a total of five drawings pulled from all valid entries received by 5 p.m. ET the final business day of each month. Entries for each month’s drawing must be received by the stated date and time to be eligible for the Sweepstakes drawing. The Sponsor’s time clock is the official clock for this Sweepstakes. Only one (1) entry per email address will be accepted during each month of the Sweepstakes Period - allowing for a total of five (5) entries. Mechanically reproduced multiple entries or multiple entries submitted by means of software-generated or other automated processes are not valid for entry and will be disregarded. The identity of an online entry will be deemed submitted by the holder of the email account. For these purposes, an email account holder shall mean the natural person assigned to such email account by the Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with such email account. Any questions regarding the number of entries submitted or the owner of an email account shall be determined by Sponsor (as defined in Section 3 below) in its sole discretion. Entries become the exclusive property of the Sponsor and will not be acknowledged or returned.

3. SWEEPSTAKES GENERAL RULES: TV One, LLC (“Sponsor”) will not be responsible for incomplete, illegible, lost, late, or misdirected entries or for failure to receive entries due to transmission failures or technical failures of any kind, including, without limitation, malfunctioning of any network, hardware or software, whether originating with sender or Sponsor. By entering, all entrants and participants further agree to be bound by Sponsor’s Terms of Use relating to the use of the Website, including Sponsor’s Privacy Policy.

In the event the Sweepstakes is compromised by a virus, non-authorized human intervention, tampering or other cause beyond the reasonable control of Sponsor that corrupts or impairs the administration, security, fairness or proper operation of the Sweepstakes, Sponsor reserves the right in its sole discretion to suspend, modify or terminate the Sweepstakes. Should the Sweepstakes be terminated prior to the stated expiration date, Sponsor reserves the right to award Prizes based on the entries received before the termination date. Sponsor reserves the right to disqualify any entries by persons determined to be tampering with or abusing any aspect of the Sweepstakes.

4. ELIGIBILITY: Sweepstakes is open only to persons who, at the time of entry, are 18 years of age or older and are legal residents of the United States and the District of Columbia. Sweepstakes is not open to employees of the Sponsor and each of its respective parents, affiliates and subsidiary companies, and their advertising or promotional agencies, and the immediate family members of and any persons domiciled with, such employees.

5. PRIZES: Twenty-seven (27) prize winners will be selected (“Prize Winners”) each month during the promotion period - One (1) first prize winner, one (1) second prize winner and twenty-five (25) third prize winners.

Each First Prize winner will receive a prize with the approximate retail value (“ARV”) of Two Hundred and Fifty Dollars ($250.00) and the prize by months are: August – one (1) ipod® and a TV One T-shirt; September - one (1) ipod® and a TV One T-shirt; October - one (1) digital camera and a TV One T-shirt; November - one (1) digital camera and a TV One T-shirt; and December – one (1) BluRay DVD Player and a TV One T-shirt.

The second and third prizes awarded each month are: one (1) Second Prize Winner will receive a $50 Amex Gift Card and a TV One T-shirt (“Second Prize”) with an approximate retail value (“ARV”) of Fifty-five Dollars ($55.00); and twenty-five (25) Third Prize Winners will receive a TV One T-shirt (“Third Prize”) with an approximate retail value (“ARV”) of Five Dollars each ($5 each).

No transfer, or cash or other substitution of any prize allowed except if any element of the Prize or Grand Prize is postponed or cancelled. Additional restrictions may apply.

The Prize Winners may, individually or collectively, be referred to as “Winner(s)”. Only one (1) prize will be awarded per person. Winners will be selected through random drawings from the eligible entries received during each month of the promotion period. Prizes are non-transferable, assignable, or redeemable for cash. No substitution is permitted, except by Sponsor, who reserves the right, in its sole discretion, to substitute a prize for one of equal or greater value. If a Winner cannot or will not accept a prize as stated, in Sponsor’s discretion, the prize may be awarded to an alternate winner.

6. ODDS: The odds of winning depend on the total number of eligible entries received during the Sweepstakes Period.

7. WINNER NOTIFICATION AND ACCEPTANCE: Winners may be notified by phone, email or delivery carrier. First Prize Winners will be required to execute an affidavit of eligibility, liability release and publicity release (unless prohibited by law), which must be returned by the date appearing on prize notification. Return of prize or prize notification as undeliverable, failure to execute and return requested documentation within the allotted timeframe, Sponsor’s inability to contact potential winner within a reasonable time period or noncompliance with these Official Rules by potential winner will result in disqualification and, at Sponsor’s discretion, the prize may be awarded to the runner-up. All Prizes will be awarded, but unclaimed Prizes may be forfeited. Sponsor will ship Prize and/or Prize information to mailing address provided by Winner when registering for Sweepstakes. Winners are solely responsible for reporting and paying any and all taxes on Prizes. Except where prohibited by law, participation in the Sweepstakes constitutes entrant’s consent to the publication of his or her name and image in any media for any commercial or promotional purpose, without limitation or further compensation. Requests must be received on or before January 31, 2011 and Sponsor has sixty (60) days to process your request after receipt.

8. GENERAL RELEASE/CONDITIONAL LIMITATION OF LIABILITY: Participation and entry in the Sweepstakes constitutes an agreement by each entrant to comply with these Official Rules. By entering and participating in the Sweepstakes, entrants release Sponsor, any other promotional sponsors, and each of their respective parents, affiliates and subsidiary companies, and their advertising or promotional agencies, directors, officers, employees, representatives, partners, managers and agents from any and all liability whatsoever for any claims, costs, injuries, losses or damages of any kind arising out of or in connection with the Sweepstakes or with the acceptance, possession or use of any Prize (including, without limitation, claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light). Notwithstanding the foregoing, in the event that the preceding release is determined by a court of competent jurisdiction to be invalid or void for any reason, Sweepstakes entrant agrees that, by entering the Sweepstakes, (i) any and all disputes, claims, and causes of action arising out of or in connection with the Sweepstakes, or any Prizes awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorney’s fees; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses.

9. REMOVAL FROM MAILING LIST: Participation in the Sweepstakes constitutes entrant’s consent to receive future promotional materials. To prevent receiving future materials from Sponsor, send a written removal request, specifying the name and address you are requesting to have removed from the mailing list, to: TV One, LLC, 1010 Wayne Avenue, 10th Floor, Silver Spring, MD 20910. Sponsor has sixty (60) days to process your request after receipt.

10. CONSTRUCTION: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any entrant and Sponsor, shall be governed by, and construed in accordance with the laws of the State of Maryland, without giving effect to any choice of law or conflict of law rules or provisions (whether of Maryland or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than Maryland. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any such provision is determined to be invalid or otherwise unenforceable, these rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

11. SPONSOR: The Sweepstakes is sponsored by TV One, LLC, whose decisions regarding the selection of Winners and all other aspects of the Sweepstakes shall be final and binding in all respects. Sponsor will not be responsible for typographical, printing or other inadvertent errors in these Official Rules or in other materials relating to the Sweepstakes.
